Upon the growing performance of corporate businesses in Latin America, Euromoney Training (New York) is organizing a seminar on “Key Legal Issues in the structuring and documentation of M&A in Latin America”.

This seminar includes an interactive programme that will analyze key legal aspects applicable to the different steps pursuant to which the transfer (either at a local or cross border level) of the share controlling power over a “target” company in Latin America is executed, including an in depth study of the main terms of the documentation to be drafted.

This seminar will have a practical approach. Among the key subject-matters to be analyzed within it are hereby detailed as follows: (i) “macro” legal issues applicable to the transfer of the stockholding control; (ii) preliminary steps (documentation); (iii) the legal due diligence; (iv) terms and conditions of the stock purchase agreement; (v) impact of contingencies in the evolution of the transaction; (vi) regulatory matters; and, (vii) closing of the transaction.

The director of this seminar is the lawyer specialized in corporate/financial law, Professor Rodolfo Papa, Latin Counsel Correspondent in Argentina.

Such two days seminar would be developed during the month of June of the current year either in Panamá, and whose definitive implementation will depend on the amount of attendants who finally get the registration to take participation on it.
