BRL 500mm Merger between Manabi and Asgaard

Demarest has advised Ontario Teachers' Pension Plan (which is one of the shareholders of Manabi S.A.) in a transaction involving a previous reorganization of the structure of the capital stock and shares of Manabi S.A. (including the redemption of Preferred Shares in the amount of R$ 353,361,556.50) and the merger of Maverick Logística S.A. into Manabi S.A. and a consequent capital increase by the then shareholders of Maverick Logística S.A. in the amount of R$ 209,492,091.00, to be paid within 48 months. Maverick Logística S.A. owns interest in the companies of Asgaard Group.

The Merger aims at integrating the activities of Maverick Logística S.A. and Manabi S.A. by combining their complementary business models and, consequently, strengthening both Companies’ businesses in order to create a company with focus on the logistics market, especially in the port segment and maritime support navigation.

It is an important deal to Manabi S.A. in order to develop and expand its business.
