Marval, O’farrell & Mairal and Greenberg Traurig, S. C. in regional technology acquisition

Marval, O’Farrell & Mairal acted as lead legal counsel to Navent Group Ltd., a major Latin American classifieds company, in the acquisition of Dridco’s real estate and jobs online classifieds assets in the region in a cash and stock deal. Gunderson Dettmer, regular U.S. counsel to Navent, provided NY law advise. M. & M. Bomchil gave counsel to the sellers, a group of Latin American media companies.

Hernan Slemenson, from Marval said “it was a very complex and sophisticated deal from a structuring standpoint which involved multiple jurisdictions throughout the region and that included the spin-off of the automobile classifieds business of Dridco. All parties worked very hard to complete all parts of the transaction within a very tight schedule.  Everyone was doing his/her job but always in a very cooperative environment, which really helped in completing the deal on time. The completion of this transaction reaffirms the interest of investors in the vibrant Latam technology market.” 

Luis Octavio Núñez, Shareholder in Mexico City at Greenberg Traurig, said to LATIN COUNSEL, “The most interesting portion of this acquisition, in my opinion, was to assist with the legal transfer of Mexican assets in compliance with Mexican laws, while acting in consistency with the overall terms of the global acquisition, which was governed by New York laws. When shares are transferred, it is much simpler to perfect the transfer. The transferring of assets requires different formalities, depending on the type of assets, such as contractual rights, movable assets and intellectual property.”

The transaction closed on January 27, 2015.
