Merger of United Airlines Inc. and Continental Airlines Inc. takes place in Honduras

García & Bodán, through Jazna Vanessa Oquelí, Managing Partner of G&B Honduras and Associate Fredy Castillo Portillo, have advised on the registration of the merger carried out in the United States of the companies United Airlines Inc. and Continental Airlines Inc. as part of the globalization in the aviation business. The acquiring company is Continental Airlines Inc. and the new merged company will be called United Airlines Inc. The new United operates a total of approximately 5,800 flights a day to 371 destinations in America, Europe, Asia from offices in Chicago, Cleveland, Denver, Guam, Houston, Los Angeles, New York, San Francisco, Tokyo and Washington, DC.

The legal counsel has involved the advise of the lawyers Oquelí and Castillo who have assisted the company throughout the process and stages of the merger, which formally concluded in the United States on March 31st 2013, but in consideration of the legal steps the documentation has to follow; it was not until June 3rd that it finally took place in Honduras.

The process began with the "initial fusion" and under which companies Continental Airlines Inc. and United Airlines Inc., maintaining its own structure and legal personality, became subsidiaries of a Holding company called United Continental Holding Inc.; not until the previously referred date, the final merger took place which United Airlines Inc. was absorbed, only subsisting its commercial name. All legal stages entailed the work and experience of the lawyers of García & Bodán, to achieve continuity in operations under the a number of complex international legal figures that at same time had to  replicated had to be replicated and registered in accordance with Honduran law.

García & Bodán has provided continuous legal advice for over nine years to the company Continental Airlines Inc.; supported and guided in all its local process of fusion and in this new stage, García & Bodán will advise United Airlines Inc. on issues related to the regulatory process that all its entails change operation require in the country.
