VINCI acquires Linea Amarilla S.A.C.

Demarest advised VINCI Highways in the acquisition of Peruvian concessionaire LAMSAC from Línea Amarilla Brasil Participações S.A. (LAMBRA), a wholly owned subsidiary of Investimentos e Participações em Infraestrutura S.A. - INVEPAR (“INVEPAR”), for an aggregate amount of approximately BRL 4,517,443,427

Demarest advised VINCI Highways, a subsidiary of VINCI Concessions dedicated in international investments in toll road concessions, in the acquisition of LAMSAC, which, alongside with PEX, were the first and sole foreign investments of the Brazilian company INVEPAR, and is responsible for the administration of the Peruvian toll road concession Línea Amarilla, in Lima, Perú, for approximately BRL 4,517,443,427 (the value is subject to a series of adjustment rules e.g. indexation, contractual adjustments and receipt by LAMBRA of the full payment of the subordinated debt with LAMSAC).

LAMSAC Perú and PEX were the sole foreign investments of the INVEPAR Group in toll road segment.
