Gissela has extensive experience in mergers and acquisitions, having participated in various domestic and international transactions, including structuring purchase and sale strategies, legal due diligence, negotiation of share and asset purchase agreements, and closing corporate transactions. She has also advised companies on corporate restructurings, joint ventures and strategic alliances.

In corporate law matters, she has experience advising commercial entities on corporate governance issues, including structuring management bodies, drafting corporate policies and regulatory compliance. She has represented investment funds and private equity firms in structuring investment vehicles, negotiating shareholders’ agreements and corporate documentation.

Additionally, she has experience in financing and credit transactions, advising both creditors and debtors on structuring security interests, negotiating credit agreements and debt restructuring.

Previously, she worked as in-house counsel at a multinational company, where she provided strategic legal advice on contractual and commercial matters to the business area, participating in the negotiation of key contracts for business operations and the mitigation of legal risks from a business perspective.

She had the opportunity to work as international legal counsel at a managed account platform for hedge funds and private equity funds based in Montreal, Canada, where she participated in managing agreements with counterparties, structuring investment vehicles in different jurisdictions, conducted legal research on regulatory matters in various jurisdictions and coordinated corporate governance documentation for funds located in different jurisdictions, such as the Cayman Islands, Canada and the United States.

She began her career in private practice, where she gained experience in mergers and acquisitions, private equity transactions, securities regulation and corporate governance, advising local and international clients on complex commercial transactions.
