Jordi provides specialized advice in the structuring of collective investment undertakings, venture capital entities, European venture capital funds, European social entrepreneurship funds and their respective management companies. He has advised in the incorporation and setting up of several management companies in Spain as well as in the registration of investment vehicles.

He also provides advice in financing and corporate debt restructuring processes (syndicated and bilateral loans, factoring agreements, personal and in-rem guarantees agreements linked to such processes).

Additionally, Jordi advises fintech companies on regulatory aspects (crowdfunding and crowdlending platforms, real estate crowdfunding platforms, payment entities, e-money entities, investment services firms and consumer lending companies).

Throughout his professional career, Jordi has advised local and international companies in M&A transactions, participating both in the process of the due diligence coordination and in the negotiation and drafting of all the documents involved in the transaction, such as Letter of Intentions, Stock Purchase Agreements, Shareholders Agreements, ancillary documents and corporate documentation necessary to adjust the bylaws of the target company to the Shareholders Agreement (amendment of the bylaws, capital increases, CEO’s contract, etc.).

Currently, Jordi is Secretary and Vice-secretary non-director to the board of directors of several companies, providing advice in the fields of corporate and contractual law.
