Acquisition of Industrial Bakery Business of Kraft Foods International

On October 14th, Burns Philp & Co. agreed to acquire the yeast and industrial bakery ingredients business from Kraft Foods International Inc. in Latin America. The cost of the transaction was US$ 110 million.

On October 31st, the transaction was closed at the general level as well as in each of the jurisdictions involved.

The Brazilian law firm Barbosa, Mussnich & Aragao Advogados (Fabiana Peixoto) started the working and follow up to the end the Brazilian side of the transaction. The attorneys in charge of coordinating the whole transaction in Latin America were the Argentinean firms Brons & Salas (Eduardo Represas, María Laura Farrapeira, Magdalena Pologna and Marisa Garsco, for corporate and trademark issues) and Dighero & Carricart (Juan Martín Dighero for labor matters).

In Uruguay, Posadas, Posadas & Vecino was involved in the deal through Eduardo Ferrari, associate responsible for the matter, Daniel González, partner in charge of tax issues, Gerardo Caffera, legal counsel who prepared the legal due diligence, Juan Defféminis, associate who deals with all trademarks subjects, and Gonzalo Gari, associate who handles labor issues.

The Colombian legal advisor for the purchaser was Gómez Pinzón, Linares, Samper, Suárez, Villamil & Asociados, with a team headed by partners José Luis Suárez and Paula Samper, and associate Mauricio Jaramillo.
