Consortium advises Duwest Inc.  

Consortium advised in the purchase of inventories and relevant assets of Agroquímica Internacional, S.A de C.V. (El Salvador) and Agrinter Honduras, S.A. de C.V. (Honduras), as sellers, hereinafter both referred as "Agrinter", which were acquired by Duwest El Salvador, S.A. (El Salvador) and Duwest Honduras, S.A. de C.V. (Honduras), hereinafter both referred as "Duwest". 

Agrinter is focused in the sale of agrochemical, veterinary and plant nutrition products in El Salvador and Honduras. On the other hand, Duwest is mainly engaged in the business of import, export, purchase and sale of all kinds of goods for trade, representation and distribution of domestic and foreign brands related to products for agriculture and livestock. 

Consortium provided legal assistance structuring the transaction in El Salvador and Honduras, in the due diligence on the assets that were acquired by Duwest, and in the drafting, negotiation and execution of the asset purchase agreement and the ancillary agreements under local laws.

Consortium’s advice included corporate, regulatory, tax and labor aspects which were provided by the different specialists of the Firm.

Finally, Consortium is providing legal advice to Duwest on all post-closing activities along with an antitrust filing regarding this transaction in Honduras.
