Grupo Industrial Camesa Acquired Largest Mexican PVC Producer
Grupo Industrial Camesa, S.A. de C.V. (Camesa), through wholly-owned subsidiary Comercializadora Industrial Camesa, S.A. de C.V., has acquired all of the outstanding shares of the capital stock of Grupo Primex, S.A. de C.V. (Primex), Mexico?s largest poli-vinyl chloride (PVC) resin and compounds producer. Selling shareholders Xignux Eléctrica, S.A. de C.V. and Grupo Condumex, S.A. de C.V. held 60% and 40% of Primex, respectively, prior to the sale.
Camesa was advised by Forastieri Abogados, S.C. through partner Francisco Forastieri and associate Leonora Olmedo with respect to the transactional documents. Associates Eduardo Díaz de Cossío and Mariana Salazar advised Camesa on antitrust matters.
Xignux was advised by its general counsel Oscar Martínez, and Condumex was advised by its general counsel José Ramón Nevárez. Gabriel Castañeda of Castañeda y Asociados, S.C. gave advice to the sellers with respect to antitrust issues.
