The firm, organised as a legal services boutique, was founded in early 2011 by Martín Litwak to provide highly personalised services tailored to each client’s specific objectives. Litwak & Partners offers an alternative to traditional Anglo-Saxon multi-jurisdictional law firms based in the British Virgin Islands, the Cayman Islands and other offshore jurisdictions. When a multi-jurisdictional transaction or project has a Latin American component of any kind, we are better placed than any of those firms to provide the legal advice required.
INVESTMENT FUNDS
Formation, representation and structuring of investment funds and management companies of all types, including determining the most suitable jurisdiction and structure, advising on the regulations applicable to the chosen investment vehicle and, where appropriate, obtaining the relevant licence. The firm advises on regulatory and corporate matters, among others. It also advises auditors specialising in investment fund audits, fund administrators and local law firms.
ADVICE TO FINANCIAL INSTITUTIONS
We have a team of lawyers specialising in banking and financial regulation in the jurisdictions where the firm operates, with extensive international and local experience. The practice group maintains relationships with regulators and supervisory authorities, enabling it to anticipate issues and identify opportunities for clients, both in complex transactions and in banking business of varying sizes. Its work commonly includes establishing financial institutions, obtaining registrations and authorisations from the relevant regulators, and preparing compliance manuals.

PRIVATE EQUITY & VENTURE CAPITAL
Representation of venture capital funds, start-ups and investors in a range of venture capital and private equity transactions. We also act as external counsel to many companies acquired by investment funds on their day-to-day business activities.
DUE DILIGENCE
Advice to clients undertaking due diligence, both before and after investing in international investment funds. This includes, among other things, reviewing documents, policies, procedures and manuals; reviewing corporate governance rules; negotiating side letters; and reviewing service providers (auditors, administrators, etc.).
WEALTH STRUCTURING
Formation and administration of trusts, private investment companies, foundations and other vehicles commonly used for wealth planning, philanthropic activities, enhancing the privacy of assets and/or asset protection.
Our head office is in Montevideo, Uruguay, keeping us close to our clients and enabling us to stay up to date on legislative trends and business practices in the region. Our in-depth knowledge of Latin American culture and markets allows us to tailor our services to the requirements and expectations of clients in the region. Uruguay has also traditionally been a jurisdiction of choice for Latin American financial advisers, families and companies structuring certain financial and corporate transactions.
Representation of commercial companies and financial institutions in a wide range of multi-jurisdictional financial transactions, including corporate finance and capital markets transactions, asset finance, initial public offerings (IPOs), multi-jurisdictional mergers and acquisitions, corporate restructurings and financial derivatives. We also have substantial experience in asset securitisation transactions and advise on the establishment and administration of Special Purpose Vehicles (SPVs) required for off-balance-sheet transactions and other purposes.
