Carey advised AI Software, LLC, doing business as Capacity, on its acquisition of Chattigo, a Chilean omnichannel conversational platform that enables companies to automate and centralise their customer service, sales and internal communications.
Capacity is an agentic support automation platform that powers every customer experience activity from a single AI Knowledge Orchestration Layer. Its services include omnichannel AI agents, real-time agent assistance, automated quality assurance, conversational intelligence, and outbound SMS and voice campaigns.
More than 20,000 organisations rely on Capacity to deflect repetitive enquiries, empower human agents, automate post-interaction work and conduct proactive outreach.
Chattigo, meanwhile, is used by more than 800 companies across Latin America, ranging from growing startups to large corporations in sectors including banking, retail, logistics, healthcare and education.
Carey’s engagement included conducting a legal due diligence review of the company, as well as negotiating and preparing the transaction documentation. The firm also advised Capacity on the acquisition financing.
The transaction closed on May 23, 2026, and involved the jurisdictions of the United States, Mexico and Chile. The value of the transaction is confidential.
The transaction was carried out in a highly disruptive and rapidly evolving industry whose value proposition is grounded in the use of artificial intelligence to develop communication solutions.
It also required coordination across multiple jurisdictions and negotiations with the company’s founders and various domestic and international investment funds.
