The team of ARIAS Honduras led by Evangelina Lardizábal, together with Rodolfo Salgado and Valerya Theodoracopoulos, worked alongside Kathleen Lemmens, Partner for M&A and Giacomo Marzolini (lawyers of the legal firm Gianni & Origoni) in assisting Giovanni Bozetto S.p.A. in acquiring total control of STARCHEM, S.A. and MERRILL, S.A. DE C.V., which are companies dedicated to specialty chemicals manufactured in Honduras, and responsible for the development, sale and marketing of specialty chemical solutions in Central America.

Arias advised the client by providing an analysis of the local legal landscape regarding corporate, environmental and tax issues, and assisted in the preparation of the transactional agreements from a local law perspective. Additionally, ARIAS Honduras worked hand in hand with environmental consultants to examine the regulatory-environmental aspects of the transaction.

This agreement was signed on November 3rd, 2023, but the closing date is still pending.
