Basham, Ringe y Correa advises Kohler Co on acquisition of Klafs MPP GmbH  

KLAFS, recently acquired by Kohler Co., has locations in Germany, Switzerland, Austria, Poland, Netherlands, U.K., Spain, and Mexico.

The firm advised the company throughout the whole process. 

Mexico City, February 2024. Basham, Ringe, y Correa, S.C. ("Basham") advised Kohler Co ("Kohler") in the acquisition of 100% of the capital stock of ACG HoldCo GmbH from Klafs MPP GmbH & Co. KG. ("Klafs"), along with its subsidiary Mexican company Klafs México, S.A. de C.V. ("Klafs México"). Financial details of the transaction are not being disclosed.

Klafs develops, designs, manufactures, and sells innovative premium wellness products to enhance personal spa experiences, including saunas, infrared cabins, steam baths, pools, and related wellness equipment and accessories. In addition, the company provides design consultation, planning services, and expert installation. Klafs sells its products through a vast direct-to-consumer showroom network that primarily spans Europe to residential and commercial clients (incl. hotels, fitness centers, day spas, etc.).

The assistance provided by Basham encompassed a wide range of essential services, including (i) conducting full-scope due diligence of Klafs México to ensure a comprehensive understanding of the entity involved; (ii) negotiating transaction documents, such as the stock purchase agreement from a Mexican perspective; (iii) offering guidance on tax matters regarding the transfer of shares for the Mexican portion; (iv) providing comprehensive advice on regulatory and data privacy regulations compliance; and (v) preparing ancillary documentation required for the successful closing of the transaction.
