Gómez-Pinzon and Clifford Chance China close the JCHX Acquisition of 50% of the Alacrán mining project in Colombia  

Colombian firm Gómez-Pinzón, acting as local counsel, and Clifford Chance in China have represented Chinese engineering company JCHX Mining in the acquisition of 50% equity of the Alacran mining project in Colombia, owned by Canadian Company Cordoba Minerals, in a US$100 million agreement.

The Alacran Project is positioned to be the largest copper mine in Colombia in the near future.

The transaction was implemented as follows:
Cordoba Minerals, a mineral exploration company listed on the Canadian stock exchange - represented by the Canadian law firm Cassels and Colombian law firm Brigard & Urrutia - was the sole owner of the Colombian company CMH Colombia S.A.S., an SPV that currently holds the Alacran mining title and will hold other mining titles needed to develop the Alacran copper-gold-silver mining project in Colombia.

A strategic arrangement was made between Cordoba Minerals and JCHX Mining Management, one of the top mining construction companies in China - represented by Clifford Chance China, and Colombian law firm Gómez-Pinzón - for the joint development of the company’s flagship Alacran Project in Colombia.

For the joint venture arrangement between Cordoba Minerals and JCHX,  multiple contracts were negotiated, including a Framework Agreement, JV Shareholders’ Agreement, Share Purchase Agreements, and a Subscription Agreement, among others.

The Colombian Government, along with industry specialists, have unanimously deemed the copper metal as fundamentally imperative for the new electrification and transitional energy era.
