Rebaza, Alcázar & De Las Casas advises BVL Group on the integration of the Lima, Bogotá and Santiago Stock Exchanges  

The Peruvian, Chilean and Colombian stock exchanges are combining in order to compete more strongly against other Regional stock markets
 


The necessary agreements have been signed to carry out the implementation of the regional integration process of the Santiago Stock Exchange (BCS), the Colombian Stock Exchange (BVC) and the BVL Group – Lima Stock Exchange (BVL Group), subject to compliance with certain conditions precedent.
 
The regional integration plan implies that the BCS, the BVC and the BVL Group are unified in a regional holding company incorporated in Chile, in order to compete with other predominant stock markets in the region.

This represents an unprecedented transaction in the history of the Latin American stock market.

The closing of the transaction is subject to the holding executing the merger process with the BVC, at which time the change in the shareholding will become effective.
 
In this context, Rebaza, Alcázar & De Las Casas has participated as tax advisor to the BVL Group -majority shareholder of the Lima Stock Exchange-, and to certain non-resident shareholders -Grupo BVM, S.A. de C.V. and B3 S.A. – Brasil Bolsa Balcao-, in the structuring, implementation and analysis of the tax incidences that would derive for the BVL Group and said shareholders, due to the implementation of the regional integration plan of the stock market organizations that make up the Pacific Alliance.
