Acquisition of share package of Empresa Eléctrica Pangue

On June 2, Philippi, Yrarrázaval, Pulido & Brunner, acting on behalf of Elesur S.A., a Chilean subsidiary of Endesa España, closed the acquisition of a share package owned by several minor shareholders of Empresa Eléctrica Pangue S.A., another company controlled by Endesa España in Chile, in which there were still some relevant minor shareholders such as Bancard S.A., owned by Sebastián Piñera, and Servicios Financieros S.A., owned by José Cox and Ignacio Guerrero. The total amount involved in the operation was of approximately US$15 million, and included the acquisition of approximately 5% of the shares of Empresa Eléctrica Pangue S.A.

Philippi, Yrarrázaval, Pulido & Brunner acted in this transaction with a team lawyers headed by partner Luis Carlos Valdés, with the assistance of Pablo Román and Ricardo Irarrázaval.

On behalf of the sellers acted Alcaíno, Rodríguez & Sahli from which Alfredo Alcaíno and Gustavo Olave were the lawyers in charge.

On behalf of Endesa España acted José María Fesser and Carlos Martín, both in-house counsels of the Group.
