LATIN COUNSEL is pleased to sponsor the launching of the international training course "Structure of an M&A Deal", in its "In-House" modality, which during the last 5 years, has positioned itself as a recognized training tool for the benefit of Latin American corporate lawyers, members of law firms, professional services consulting firms and companies, which are usual protagonists in the conclusion of this type of commercial transactions.
Its content structure focuses on a complete and exhaustive analysis for the design, instrumentation and execution of an M&A transaction, essentially aimed at the transfer of a "controlling interest" (or "controlling shareholding") in a Latin American target company.
The course, delivered through the ZOOM platform, provides an overview of the main legal, regulatory and compliance issues that may have an impact on the conclusion of the transaction, through its 3 stages: pre-contractual, contractual and post-contractual, respectively, including a detailed description of the documents that must be prepared and negotiated during its transit through those stages.
The course has been designed and taught by Rodolfo G. Papa, corporate lawyer, author, lecturer, international academic, mentor and LATIN COUNSEL correspondent in Argentina since 2005.
Rodolfo is a lawyer graduated from the University of Buenos Aires (with Honors Diploma), and Master of Laws (LL.M) from the University of Warwick (England), awarded with the British Chevening Scholarship.
As an author, he has published 5 books on the treatment of M&A transactions: "Transfer of Shareholding Control"; "Due diligence for lawyers and accountants" (co-author); "Pre-contractual transactions in the Argentine Civil and Commercial Code. Its impact on the structuring of a transfer of shareholding control", "The criminal liability of private legal entities for acts of corruption" (co-author), and recently, "M&A transactions. Current Legal Issues".
He has taught this course since the beginning of the pandemic, in open format, training more than 400 lawyers from 13 Latin American countries.

"We are very pleased to receive again the sponsorship of LATIN COUNSEL, -a brand of excellence in the corporate legal world of Ibero-America-, with which I have the pleasure of collaborating for 20 years-, for the diffusion of the course "Structure of an M&A Deal", under the in-House modality, The objective of this course is to satisfy a need for training and professional formation, in favor of law firms (and also accounting firms), and companies that are usually involved in M&A deals in Latin America, representing local clients, or from other legal cultures, such as Common Law.
The course taught under this modality has been successfully tested, since I have had the opportunity to teach it for the benefit of 4 large international law firms, recognized in Latin America for their professional excellence.
