P&H counsels underwriters in US$300 million bond offering

Pellerano & Herrera counselled the underwriter financial entities, Citigroup Global Markets Inc., J.P. Morgan Securities Llc., and Scotia Capital (USA) Inc., in the US$300 million bond offering of 5.70% Notes due 2028, issued by energy corporation, AES Andres B.V. The issuance was guaranteed by entities Dominican Power Partners and AES Andres DR, S. A., as well as Citibank, N. A. who acted as fiduciary entity.

Pellerano & Herrera´s team was led by partner, Alessandra Di Carlo, and included senior associate, Maria Montero and associates Laura Patiño and Ana Rocha. The firm was responsible of all work related to the deal including the deliverance of a legal opinion, performing a due diligence on the issuer and guarantors, reviewing the deal documentation, advising on local law matters, among others.

The deal was closed on May 4th, 2021.
