Rebaza, Alcázar & De Las Casas and Three other Firms in Cross-Border Sale of Peruvian Energy Generator

 

Rebaza, Alcázar & De Las Casas, in Lima, Peru advised the Abu Dhabi Investment Authority ("ADIA"), acting as seller, on the share purchase agreement for the sale of 41.4% shares issued by Inversiones de las Canteras S.A., holding company of Fenix Power Peru S.A. ("Fenix Power"), to Colbún Perú S.A., acting as purchaser. The agreement was signed, and the transaction announced on April 29, 2025. Closing is expected to occur during the second semester of 2025, subject to certain customary conditions precedent, including antitrust clearance in Peru.

The Chilean company Colbun S.A. currently owns 58.6% indirect equity interests in the Peruvian energy generation company, Fenix Power, and upon closing, will consolidate 100% equity interests in said company.

Fenix Power is a leading energy generation company based in Peru. The company owns and operates a combined cycle power plant, and a natural gas-fueled facility with an installed capacity of 572 MW, as well as a portfolio of solar and wind projects at various stages of development, whose materialization is subject to the energy needs of its customers and the Peruvian interconnected electrical system.
