Tozzini, Freire, Teixeira e Silva and Barbosa, Müssnich & Aragão advised in Brasil Telecom deal
Tozzini, Freire, Teixeira e Silva Advogados assisted Furukawa in the negotiation for the outsourcing of its Information Technology Department to Brasil Telecom, which became in charge of rendering and managing the services related to said area. The value of deal was US$10 million. Date of closing: July 31, 2003.
Commenting the transaction to Latin Counsel, a source from Tozzini said ?The transaction will bring to Furukawa a cost reduction of, at least, 30% per year of its expenses with Information Technology. Our assistance included the preparation of several agreements, such as: (i) a master agreement of assumption of financial obligation and other covenants, which disciplined the commercial relationship of the parties and the assignment to Brasil Telecom of the agreements previously entered by Furukawa, related to Information Technology; (ii) a rendering of services agreement, which disciplined the services to be rendered by Brasil Telecom and the service level demanded for the rendering and managing the services; and (iii) a free lease agreement, in which Furukawa free leased the necessary equipment for the business to Brasil Telecom.?
