The position is based in Hong Kong and includes work visa sponsorship for the successful candidate. Remuneration will be competitive and commensurate with professional experience.
Key Responsibilities
Cross-Border M&A & Investment
· Lead full-cycle legal workstreams for renewable-energy and infrastructure M&A, including transaction structuring, due diligence, drafting and negotiation, regulatory approvals, closing and post-closing integration.
· Design transaction structures—including SPAs, SHAs, joint ventures, holding companies and SPVs—that balance commercial objectives with legal and regulatory constraints across jurisdictions.
· Conduct legal-risk assessments and prepare internal legal opinions for executive and board decision-making.
Project Development, EPC & Core Project Contracts
· Draft and negotiate core project documents, including EPC contracts, O&M agreements, utility, corporate and sleeved PPAs, land leases and grid-connection agreements.
· Advise on project bankability, ensuring that legal and contractual structures meet the requirements of commercial lenders, development finance institutions and institutional investors.
Project Financing & Capital Structuring
· Review and negotiate financing documents, including syndicated loan agreements, security packages, shareholder loans, convertible notes and guarantee arrangements.
· Legal support for capital-raising transactions: green bonds, fund-level structures, and DFI/ECA-backed financing.
· Structure key protections, including representations and warranties, undertakings, indemnities, remedies and exit mechanisms.
Asset Disposal & Exit
· Lead legal workstreams for asset sales, partial divestments and the introduction of strategic investors.
· Design exit-oriented legal and transaction structures from project inception.
· Lead sell-side negotiations with financial sponsors, strategic buyers and institutional investors.
External Counsel & Legal Function Management
· Build and manage external-counsel panels across multiple jurisdictions.
· Control legal spend while maintaining high-quality legal support.
· Develop standard contract templates, approval workflows and internal legal-training program.
Qualifications
· Qualified lawyer with 8-10 PQE. Junior lawyers with exceptionally relevant background are also welcome to apply.
· Substantial legal-practice experience; a combination of top-tier international law-firm and in-house experience at an energy or infrastructure investment platform is preferred.
· Deep experience in renewable-energy and infrastructure transactions, including solar PV, wind, BESS and/or gas to-power.
· A proven track record in cross-border M&A, project finance and asset-disposal or exit transactions.
· Professional bilingual proficiency in Spanish and English, with the ability to draft, negotiate and advise in both languages. Chinese capability is a bonus.
· Comfortable working in a flat, fast-moving and mission-driven organization.
· Able to work independently and manage multiple transactions simultaneously across time zones.
· Willingness to travel internationally.
